SMS Terms of Service

Effective: May 6, 2026 

These SMS Terms of Service (“SMS Terms”) govern your participation in text messaging (SMS) communications provided by Intersection Capital, LLC (“Intersection Capital,” “IC,” “we,” “us,” or “our”). 

By providing your mobile phone number and opting in to receive SMS communications from Intersection Capital, you agree to be bound by these SMS Terms, as well as our Privacy Policy. If you do not agree to these SMS Terms, you should not opt in to receive SMS communications from us. 

SMS communications may include both transactional or relationship-related messages and, where you have provided separate and explicit consent, marketing or promotional messages, as further described below. 

Intersection Capital reserves the right to modify or update these SMS Terms at any time. Any such changes will be effective upon posting, and your continued participation in SMS communications following such changes constitutes your acceptance of the updated SMS Terms. 

  1. Consent to Receive SMS Communications 

SMS communications are provided only where you have given your prior express consent to receive such messages. Consent to receive SMS communications is voluntary and is not a condition of engaging with Intersection Capital or receiving any of our services. 

Consent is obtained separately depending on the type of SMS communication: 

Transactional or Relationship Messages: 

These include communications related to your inquiries, interactions, or ongoing relationship with Intersection Capital. By providing your mobile phone number in connection with such interactions and opting in where required, you consent to receive SMS messages related to those interactions. 

Marketing or Promotional Messages: 

These include communications regarding services, opportunities, or other promotional content. Consent to receive marketing or promotional SMS messages will be obtained separately and explicitly and will not be bundled with, or required as a condition of, receiving transactional messages or any other services or communications from Intersection Capital.

Depending on your consent preferences, you may receive different types of SMS communications from Intersection Capital, including:

We do not send marketing or promotional SMS messages without your prior express consent. 

  1. Message Frequency 

Message frequency will vary depending on your interactions with Intersection Capital and the nature of your relationship with us. 

  1. Message & Data Rates 

Message and data rates may apply to SMS communications sent by Intersection Capital. Charges for SMS messages may vary depending on your mobile carrier and service plan. Intersection Capital is not responsible for any fees charged by your mobile carrier. 

  1. Opt-Out Instructions 

You may opt out of receiving SMS communications from Intersection Capital at any time by replying STOP to any message you receive or by using any other opt-out instructions provided in the message. 

After you send the STOP request, you may receive a final confirmation message indicating that you have been unsubscribed. After this, you will no longer receive SMS messages from us unless you opt in again. 

For assistance, you may reply HELP to any message or use any other support instructions provided in the message, or contact us using the contact information provided in these Terms of Service. 

  1. Privacy 

Your participation in SMS communications is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

  1. Data Use 

Where you have provided your mobile phone number for purposes of SMS communications, we use that information to provide and manage such communications in accordance with these SMS Terms, our Privacy Policy, and applicable law. 

We do not share text messaging opt-in data or consent records with third parties, affiliates, or non-affiliates for their own independent use. 

  1. Carrier Disclaimer and Limitation of Liability 

Carriers are not liable for delayed or undelivered messages. 

Intersection Capital does not guarantee that SMS messages will be delivered without delay, error, or interruption. Delivery of SMS messages is subject to effective transmission by your mobile carrier and may be affected by factors outside of our control. 

SMS communications are provided for convenience and informational purposes. You should not rely solely on SMS messages for time-sensitive or critical communications. 

To the extent permitted by applicable law, Intersection Capital is not responsible for delays or failures in the delivery of SMS messages. 

  1. Termination 

You may opt out of receiving SMS communications from Intersection Capital at any time by following the opt-out instructions described in these SMS Terms or in the messages you receive. 

Intersection Capital may suspend or terminate SMS communications at any time, with or without notice, including where required to comply with applicable law or as part of our business operations. 

We also reserve the right to suspend or terminate SMS communications in the event of misuse or abuse of the messaging service. 

  1. Changes to These SMS Terms 

Intersection Capital may revise or update these SMS Terms from time to time. Any such changes will be effective upon posting of the updated SMS Terms. Your continued participation in SMS communications following such changes constitutes your acceptance of the revised SMS Terms. 

  1. Governing Law 

These SMS Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
